By accessing and using Trade-AI's website, dashboard, and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our services.

IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Service Description

Trade-AI provides an autonomous AI stock trading dashboard that includes:

• AI Trading Engine: Autonomous AI agent that analyzes markets and executes paper trades
• Live Dashboard: Real-time portfolio tracking, trade history, and performance metrics
• Strategy Signals: AI-generated trading signals and reasoning
• Paper Trading: Simulated trading environment using virtual funds

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

4. Risk Disclosure

• Market Risk: Stock markets are volatile. You can lose some or all of your invested capital.
• AI Risk: AI trading systems can and do make errors. Algorithms may misinterpret data, execute unintended trades, or fail to respond to market conditions.
• Past Performance: Past performance does NOT guarantee or indicate future results. Historical returns shown on the platform are not predictive.
• Technology Risk: System outages, data delays, network failures, and software bugs can result in missed trades or erroneous executions.
• Paper vs. Live Trading: Paper trading results do not reflect real market conditions including slippage, partial fills, and liquidity constraints.
• Data Accuracy: Market data and AI analysis may be delayed, incomplete, or inaccurate.

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in any activity that disrupts or interferes with our services
• Attempt to reverse engineer, modify, or circumvent our AI systems
• Exceed usage limits or attempt to abuse the service
• Share your account credentials or allow unauthorized access to your account
• Use the platform to manipulate markets or engage in fraudulent trading activity

6. User Registration and Accounts

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account. You represent and warrant that all registration information will be true, accurate, current, and complete, and that you are not under the age of 18.

7. AI-Generated Content Disclaimer

You acknowledge and agree that:

• AI trade signals may be inaccurate, incomplete, or misleading
• AI-generated analysis should not be relied upon as the sole basis for trading decisions
• Automated trades execute based on AI interpretation and may produce unexpected or adverse results
• You are responsible for all actions and financial consequences resulting from AI-generated signals

8. Intellectual Property

All content on the Trade-AI website and dashboard, including but not limited to text, graphics, logos, images, algorithms, and software, is the property of Soul AI LLC or its content suppliers and is protected by international copyright laws.

User Content: You retain ownership of your account preferences and configurations. By using our services, you grant us a limited license to process your data as necessary to provide our services.

10. Limitation of Liability

• Trading losses or missed trading opportunities
• Financial losses resulting from AI errors, inaccurate signals, or system failures
• Losses caused by market volatility, flash crashes, or unexpected market events
• Losses due to delayed, incomplete, or inaccurate market data
• Loss of profits, data, use, goodwill, or other intangible losses
• Actions taken based on AI suggestions or automated trade outputs
• Third-party service failures (Alpaca, Firebase, AI providers)

MAXIMUM LIABILITY: SOUL AI LLC'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

11. Indemnification

You agree to defend, indemnify, and hold harmless Soul AI LLC from and against any loss, damage, liability, claim, or demand arising out of your use of the Services, breach of these terms, or any trading decisions made based on AI-generated content or signals.

Trade-AI integrates with third-party services including:

• Alpaca: Brokerage and trading execution. Your trading account is held directly by Alpaca and governed by their terms and agreements.
• Firebase: Authentication and user management, governed by Google's privacy policies.
• AI Providers: Third-party AI services for market analysis and signal generation.

We are not responsible for changes, limitations, or discontinuation of third-party services.

We strive to provide reliable service but cannot guarantee uninterrupted availability, consistent AI response quality, real-time data accuracy, or compatibility with all devices and browsers.

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

We reserve the right to modify these terms from time to time. We will update the "Last Updated" date. It is your responsibility to review these terms periodically.

We reserve the right to deny access to the Services to any person for any reason. Upon termination, your right to use the Services will cease immediately, and we may delete your account and all associated data.

18. Company and Limitation of Personal Liability

Trade-AI is offered by Soul AI LLC. To the maximum extent permitted by law, you agree that any claims arising out of or relating to the Services will be brought against Soul AI LLC, and not against any of its owners, members, managers, officers, employees, contractors, or agents in their individual capacities.
